Terms and Conditions of Sale

These Terms and Conditions of Sale (hereinafter the “Terms”) govern the contractual relationship between:

(hereinafter referred to as the “Seller”)

and

Any individual or legal entity acting as a consumer and making a purchase on the website Nayati.shop (hereinafter referred to as the “Customer”).


Article 1 – Purpose

These Terms define the rights and obligations of the parties in connection with the online sale of products offered by the Seller to the Customer via the Site.


Article 2 – Acceptance of Terms

Validation of any order implies the express, full, and unconditional acceptance of these Terms, without restriction or reservation.
No special conditions shall prevail over these Terms unless expressly agreed in writing by the Seller.


Article 3 – Products

The products offered for sale are custom-made and/or personalized items, created according to the specifications provided by the Customer during the order process (dimensions, text, colors, etc.).

The Seller makes every effort to present the products as accurately as possible. However, minor variations may occur between the images displayed on the screen and the final product delivered, which shall not constitute a lack of conformity.


Article 4 – Prices

Product prices are indicated in euros (€), including all applicable taxes (VAT), but excluding shipping fees.

The Seller reserves the right to modify prices at any time. The applicable price is the one in effect at the time the order is confirmed.


Article 5 – Orders

The order process includes the following steps:

  1. Selection of the product and personalization (if applicable);

  2. Validation of the shopping cart;

  3. Entry of shipping and billing information;

  4. Acceptance of these Terms;

  5. Secure payment of the order.

The Seller reserves the right to refuse any order in the event of payment issues, invalid addresses, or any order deemed abnormal or fraudulent.


Article 6 – Payment

Payment is made online via the secure payment methods offered on the Site.
The order becomes final once payment has been validated by the banking institution.


Article 7 – Right of Withdrawal

In accordance with Article L221-28 of the French Consumer Code, the right of withdrawal does not apply to contracts for the supply of goods made to the consumer’s specifications or clearly personalized.

Accordingly, products sold on the Site are neither refundable nor exchangeable, except in the event of non-conformity or an error attributable to the Seller.


Article 8 – Delivery

Shipping, delivery conditions, estimated timelines, and applicable fees are detailed in the Shipping Policy available on the Site.

The Customer must inspect the package upon receipt and notify the Seller of any anomaly within 72 hours, providing supporting evidence (photos and detailed description).


Article 9 – Retention of Title

Products remain the property of the Seller until full payment of the purchase price, including any applicable fees.
In the event of non-payment, the Seller reserves the right to reclaim possession of the delivered products.


Article 10 – Legal Warranty

The Customer benefits from the legal guarantees provided under French law:

  • Legal warranty of conformity (Articles L217-3 to L217-20 of the French Consumer Code)

  • Warranty against hidden defects (Articles 1641 to 1649 of the French Civil Code)

In the event of a defect, the Customer must contact the Seller within a reasonable period, providing all necessary supporting documentation.


Article 11 – Liability

The Seller shall not be held liable for any damages of any kind resulting from improper use of the products or from circumstances of force majeure.


Article 12 – Personal Data

Personal data collected during the order process are processed in accordance with applicable legislation and the Privacy Policy available on the Site.

Article 13 – Intellectual Property

All elements of the Site (text, images, illustrations, logo, etc.) are protected under intellectual property law and remain the exclusive property of the Seller or its partners.
Any unauthorized reproduction or use of such content is strictly prohibited.


Article 14 – Governing Law and Jurisdiction

These Terms are governed by French law.
In the event of a dispute, the parties shall seek an amicable resolution.
Failing that, the dispute shall be submitted to the competent French courts, in accordance with applicable legal provisions.
